Transaction Services Terms of Use

THIS AGREEMENT (the “Agreement”) is entered into upon submission of a new transaction request by and between: 

PaperTrail Transactions, LLC (hereby known as "PaperTrail" or the "Coordinator"), a Florida limited liability company, and Real Estate Agent (hereby known as the "Agent"). 

WHEREAS, the Agent desires to engage PaperTrail to provide Transaction Coordination services (TC: handling admin from offer to close, like doc chasing, compliance checks, and deadline tracking); 

NOW, THEREFORE, in consideration of the mutual promises herein, the parties agree as follows: 

1. Services 

PaperTrail will use reasonable care and diligence to provide TC Services, including but not limited to: 

- Order entry and compliance review (e.g., disclosures, addenda). 

- Communication with escrow, lenders, title, and other parties. 

- Timeline management and deadline reminders. 

- Final closing packet prep and post-close follow-up. 

Scope Limits: PaperTrail acts only as a Transaction Coordinator, not as a licensed real estate agent/broker, and THEREFORE is not responsible for such. The Agent handles all licensing duties and work with all parties to ensure cooperation with the PaperTrail Transaction Coordinator. Services start within 1 business day of order confirmation (via email/site) and required docs. We'll aim for one dedicated TC per file, but may assign backups as needed. All work is remote—no on-site required.

2. Compensation & Payment 

Fees are invoiced at closing and due upon receipt. Applicable sales tax will be added where required.

Late payments are subject to late fees.

Unless amended in writing, fees are as follows: 

- Standard Cash Deal: $300

- Financed/Lender Deal: $350

- REO/HUD/Short Sale: $400

- Listing Input Only (MLS setup): $100

- Dual Closing: Additional $100

- Rush Fees: $50 Extra

3. Term and Termination:

No Close, No Pay Guarantee: If the transaction cancels or terminates before the expiration of the inspection/due diligence contingency period, no coordination fee is owed.

Cancellation After Contingency Removal:

- Cancel after inspection/due diligence contingency is removed: $150 earned fee. 

- Cancel within 72 hours of scheduled closing: full fee owed. 

- File remains open >60 days through no fault of PaperTrail: additional $25 per 30 days.

Termination of Services:

This Agreement applies per transaction. Either party may terminate future services with 7 days’ written notice (email sufficient). Termination of an active file follows the cancellation terms above. The Agreement automatically terminates upon force majeure events that prevent performance.

4. Confidentiality 

Each party agrees to maintain the strict confidentiality of the other’s proprietary and client information, including but not limited to transaction details, client identities, and business practices. Neither party will disclose such information to any third party without prior written consent, except as required by law (with prompt notice to the other party to permit seeking a protective order). This obligation survives termination of this Agreement indefinitely or until the information enters the public domain through no fault of the receiving party.

During the term of this Agreement and for one (1) year following the completion or termination of the last transaction, Agent agrees not to directly or indirectly solicit or hire any PaperTrail employee or independent contractor who provided services on Agent’s files without PaperTrail’s prior written consent.

5. Indemnification & Liability Cap

Agent confirms they are properly licensed, will follow all real estate laws, and will provide PaperTrail with complete, accurate, and timely documents and information.

Agent agrees to protect and hold PaperTrail (and its team) completely harmless from any claims, losses, costs, or lawsuits that arise from the transaction, Agent’s actions or mistakes, information Agent (or anyone else) gives us, or anything Agent’s clients do or fail to disclose.

PaperTrail’s maximum responsibility for any issue on a file is limited to the fee Agent paid for that file. We are never liable for lost commissions, indirect losses, or any other damages beyond that fee.

6. Miscellaneous

- Amendments: Any changes must be in writing and signed by both parties.

- Governing Law: This Agreement is governed by the laws of the State of Florida, to the exclusion of the other federal and state courts.

- Severability: If any provision is invalid, the remainder remains in full force.

- Assignment: Neither party may assign this Agreement without the other’s written consent.

- Entire Agreement: This document is the complete and final agreement; no prior understandings or side agreements apply.
